By accessing or using this Service, you indicate your agreement to these Terms of Service (hereinafter referred to as "these Terms"); therefore please read them carefully.

Acceptance and Updates of These Terms

When you visit the Da-Da-Tong website or use any services, software, data sources, or services provided through the Da-Da-Tong website (collectively referred to as "this Service"), it indicates that you have read, understood, and agreed to accept all contents of these Terms, including other relevant regulations referenced herein, including but not limited to the Privacy Policy (which is incorporated into these Terms by reference). WPG reserves the right to modify these Terms at any time to reflect changes in laws or Service content. We recommend that you stay informed of any modifications to these Terms. If you continue to use this Service after modifications, it will be deemed that you have read, understood, and agreed to such changes. If you have registered as a member, although we will attempt to notify you of significant changes, please regularly check the latest version of these Terms. If you do not agree with these Terms, or if your country or jurisdiction excludes all or part of these Terms, you should immediately stop using this Service.

Member Registration and Account Security

To fully utilize the comprehensive services of the Da-Da-Tong online technical knowledge sharing platform, WPG invites you to register as a member. WPG will create your Da-Da-Tong registered account based on your provided email address. For security and regulatory purposes, you must complete SMS verification upon your first login. Please note that to protect your Da-Da-Tong account information security, you must keep your password secure and confidential. You also agree to: (a) immediately notify WPG's business contact if your password or account is compromised or if any security issues arise, so it can be reset, and (b) log out of your account after each session.

To ensure your account security, please avoid reusing your Da-Da-Tong account password in third-party applications.

Member Services and Usage Rules

Upon successful registration, you can access Da-Da-Tong's complete services, including the latest product information and manufacturer news about WPG's agency product lines, as well as product solutions. Beyond WPG's internal solutions, you'll find the latest manufacturer solutions and solutions from high-quality Industry Design House partners (IDH), breaking down barriers between customers, manufacturers, IDH, and WPG's Field Application Engineers (FAE), thereby building a comprehensive technical ecosystem. In addition to efficient and professional technical support provided online by WPG's internal FAE team, Da-Da-Tong aims to gather all engineers for sharing and growth. Customers can more directly and quickly understand solutions, get answers to questions, and obtain technical documents, thereby shortening solution production time. After logging in, members can quickly filter solutions based on application, manufacturer, transmission technology, and output power options. While browsing solutions, members can ask questions, share, save for later reference, and directly link to "Da-Da Purchase" (https://www.wpgdadago.com) to purchase key solution materials. Some member service functions require special permission settings, such as publishing solutions.

To provide comprehensive member services, members agree that Da-Da-Tong may use the information they provide, including various fields/options filled out and actions taken, and share this data with WPG's affiliated companies or solution providers (limited to solutions you choose to download) to help members explore potentially interesting content, products, or services and provide a smooth, consistent user experience.

To ensure quality services for members, all members agree to comply with the following usage rules. When Da-Da-Tong platform administrators discover or receive reports of rule violations, appropriate management measures will be taken:

A. Members are responsible for their published statements and actions. They must provide accurate personal information during registration and must not share account passwords or transfer accounts to others. When publishing solutions, articles, or opinions (including questions, answers, comments, or reports), members must verify that such content does not violate laws or the Da-Da-Tong platform terms of service (especially member usage rules). Members further agree that any submitted content must not contain third-party copyrighted materials or proprietary rights unless they have obtained permission from the legal owner or have rights to publish such materials and grant WPG corresponding licensing permissions.

B. Members using this Service must not engage in the following behaviors:

1. Actions that violate laws, court judgments/rulings/orders, or legally binding administrative measures.

2. Actions that infringe upon others' rights, such as: violating WPG's or third parties' copyright, trademark rights, patent rights, or other intellectual property rights; or harming reputation, goodwill, or privacy rights protected by law.

3. Actions that are misleading, discriminatory, fraudulent, or otherwise harmful to public order or good morals.

4. Inappropriate or abusive behavior in submissions (publishing solutions or articles), statements, or content transmission, including violence, sexual innuendo, discrimination, sending spam messages, or spreading false information.

5. Commercial promotion or marketing activities for profit (unless approved by WPG).

6. Improper collection, disclosure, or provision of others' personal data, registration information, or usage records.

7. Uploading viruses or malicious code; using bots, cheating tools, or other technical means to improperly operate services or conduct any actions that may cause service disruption, overload, or interference with normal operations.

8. Other behaviors deemed inappropriate by WPG.

C. To confirm whether members have violated these rules, WPG may review member submissions and opinions (including questions, answers, comments, and reports). However, this does not imply that WPG has an obligation to conduct such reviews. When WPG believes that a member's submission violates or may violate laws or the Da-Da-Tong platform terms of service (especially member usage rules), WPG may delete the content or restrict the member's service use without prior notice. If WPG receives reports or copyright infringement notifications, it will immediately remove the disputed content until the dispute is clarified and appropriate action can be taken.

D. To encourage member participation in Da-Da-Tong promotional activities, WPG establishes points, experience levels, and achievement badges, which do not involve any rights or benefits. Members may not request transfer, exchange, or cash redemption. The rules governing points, experience, badges, and related matters are determined by WPG, and members shall have no objections.

E. When members publish solutions, articles, or upload any content protected by intellectual property laws (hereinafter referred to as "Member Published Content") on the Da-Da-Tong platform, members agree to grant WPG and its affiliated companies certain legal rights to use the Member Published Content as needed for complete platform services. This authorization is non-exclusive, transferable, sublicensable, royalty-free, and worldwide, allowing WPG to use, distribute, modify, execute, reproduce, publicly perform or display, provide online versions or electronic transmission and operation of content, translate Member Published Content, and create derivative works based on Member Published Content. Members also explicitly acknowledge that once their Member Published Content is submitted, it grants certain members (who provide personal information) permission to download Member Published Content under a non-exclusive, royalty-free license allowing use, modification, execution, reproduction, and creation of derivative works based on the downloaded content. You can terminate these authorizations by removing or deleting Member Published Content (must submit application for Da-Da-Tong platform administrators to execute). Please note that for technical reasons, deleted content may still exist as backup copies for a certain period. Additionally, if you have shared deleted content with others who have not deleted it, that content may continue to appear.

Compliant Use of Service

Without explicit written consent from WPG, you agree not to reproduce, copy, sell, resell, access, or otherwise exploit this Service or any part thereof for commercial purposes. You agree to use this Service only within legal limits and not to misuse it. For example, you should not interfere with Service operations, attempt to access the Service through methods other than our provided interfaces and instructions, download or copy account information for third-party use, make derivative use of the Service or its content, or use data acquisition tools, web crawlers, or similar data collection and extraction tools. Given the Internet's global nature, you agree to comply with local laws related to product sales and use this Service within legal limits (including applicable export and re-export control laws and regulations). Your use of this Service and any software, technology, or other technical data transferred, posted, or uploaded through this Service may be subject to U.S. and other countries' export laws. You agree to comply with all applicable export regulations, including but not limited to U.S. Export Administration Regulations and U.S. sanctions programs.

If you fail to comply with these Terms or policies, or if we are investigating suspected violations, we may suspend or terminate your access to the Service.

System Interruptions or Failures

WPG will maintain normal Service operations using reasonable technical means and methods, but will suspend or interrupt the Service under the following circumstances:

1. When necessary maintenance and construction of Da-Da-Tong website's electronic communication equipment is being conducted;

2. In case of sudden electronic communication equipment failure;

3. When the electronic communication service applied for by the Da-Da-Tong website is suspended and unable to provide the Service;

4. When WPG is unable to provide the Service due to natural disasters or other force majeure factors not attributable to WPG.

Unexpected interruptions or failures of the Service may cause inconvenience, data loss, errors, tampering, or other economic losses. Please take protective measures when using the Service, such as regularly updating passwords. WPG shall not be liable for any damages caused by your use (or inability to use) of the Service, except in cases of intentional misconduct or gross negligence.

Links to Third-Party Websites

The Service may provide links to other websites or network resources. You may be linked to websites operated by other providers, but this does not imply any relationship between WPG and such providers. Websites operated by other providers are solely their responsibility and are not within WPG's control or responsibility. WPG does not guarantee the suitability, reliability, timeliness, validity, accuracy, or completeness of any search results or external links. You may encounter websites that you find objectionable or unnecessary; this is a possible result of Internet operation. In such cases, WPG recommends that you do not browse or quickly exit such websites. You also agree that WPG shall not be liable for any damages arising from your linking to websites not part of the Service.

Protection of Intellectual Property Rights

The software, programs, and all website content used in the Service, including but not limited to works, images, files, information, data, website architecture, website layout, webpage design, and member content, are legally owned by WPG or other rights holders in terms of their intellectual property rights, including but not limited to trademark rights, patent rights, copyrights, trade secrets, and proprietary technology. No one may directly use, modify, reproduce, publicly broadcast, publicly transmit, publicly perform, adapt, distribute, publish, publicly present, reverse engineer, decompile, or disassemble such content. If you wish to quote or repost the aforementioned software, programs, or website content, except as explicitly permitted by law, you must legally obtain prior written consent from WPG or other rights holders. Respecting intellectual property rights is your obligation, and if violated, you shall be liable for damages to the rights holders.

For marketing and promoting the Service, WPG's product or service names, designs, and other elements (hereinafter referred to as "WPG Trademarks") are protected by trademark law and fair trade law according to their registration or usage status. Without WPG's prior written consent, you agree not to use WPG Trademarks in any way.

Using the Service does not transfer any intellectual property rights in the Service or content you access, nor does it authorize use of any trademarks, brand identifiers, or logos used in the Service. Unless the relevant rights holders agree or law permits, you may not use frames or framing techniques to incorporate the Service website's trademarks, logos, or other proprietary information (including images, text, webpage design, or format). You may not use the rights holders' names or trademarks in any original marking or other "hidden text" manner. Please do not remove, obscure, or alter any legal notices displayed on or accompanying the Service.

If someone publishes your work protected by intellectual property laws on Da-Da-Tong without your authorization, you can use the reporting function or formally submit a copyright infringement notice. Disclaimer of Warranties and Limitation of Liability

WPG will provide the Service using commercially reasonable technical skill and care, and we hope you will enjoy using it. However, regarding the Service, there are certain aspects we do not guarantee:

1. Except as expressly stated in these Terms, WPG makes no specific guarantees about the Service. For example, we make no commitments regarding Service content, specific functions, reliability, availability, or ability to meet your needs. We provide the Service on an "as is" basis.

2. Some jurisdictions require certain warranties, such as implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, we disclaim all express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

3. We do not warrant that the Service, its content, materials, products (including software), services, servers, or electronic communications are free of viruses or other harmful components.

4. To the maximum extent permitted by law, unless otherwise explicitly stated in writing or contracted, we are not liable for any damages arising from your use of the Service or its content, including but not limited to direct, indirect, incidental, punitive, and consequential damages (except where liability is required by laws in WPG's selling entity location).

Applicable Law and Dispute Resolution

By using the Service, you agree that these Terms and any disputes arising between you or your represented company and WPG regarding this Service website shall be governed by Taiwan law (except as otherwise provided in these Terms), and you agree that the Taiwan Taipei District Court shall be the court of first instance with agreed jurisdiction. If the court in your or your represented company's location excludes Taiwan law as the governing law for dispute resolution or does not allow you to agree to Taiwan Taipei District Court's jurisdiction, then your local laws and courts shall apply to disputes related to these Terms.
